Acceptance of Terms

By accessing and using the services provided by Zentriqa Ltd ("we", "our", or "us"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by these Terms of Service, you are not authorised to use or access our food festival and event planning services.

Zentriqa Ltd is a company registered in Cyprus with registration number HE821647 and VAT number CY82641973X. Our registered address is Spyrou Kyprianou Street 41, 6061 Larnaca, Cyprus. We specialise in food festivals and culinary events throughout Cyprus and the surrounding region.

Service Description

Zentriqa provides comprehensive food festival and culinary event planning services, including but not limited to:

• Traditional Cypriot food festival organisation and management
• International culinary event planning and execution
• Wine and gastronomy experience coordination
• Venue selection and event logistics management
• Vendor coordination and supplier management
• Event marketing and promotional services
• Permit acquisition and regulatory compliance
• Entertainment programming and cultural activities

User Obligations

When using our services, you agree to:

• Provide accurate and complete information regarding your event requirements
• Cooperate fully with our planning and coordination efforts
• Make timely payments according to agreed schedules
• Comply with all applicable laws and regulations related to your event
• Obtain necessary permissions and licenses as required for your specific event
• Respect the intellectual property rights of Zentriqa and third parties
• Not use our services for any unlawful or prohibited activities
• Maintain confidentiality of proprietary information shared during our collaboration

Booking and Payment Terms

Our booking and payment procedures are as follows:

• All bookings require a signed service agreement and initial deposit
• Payment schedules will be outlined in your specific service agreement
• Final payment is typically due 30 days before the event date
• Additional costs arising from changes or additions will be invoiced separately
• Late payment charges may apply to overdue accounts
• Refund policies vary depending on the timing and nature of cancellations

Cancellation and Modification

Event cancellations and modifications are subject to specific terms outlined in your service agreement. Generally, cancellations made more than 90 days before the event may receive partial refunds, whilst cancellations made less than 30 days before the event may result in forfeiture of all payments. Modifications to event scope or requirements may incur additional charges and are subject to availability of vendors and venues.

Intellectual Property

All content, materials, and intellectual property created by Zentriqa in connection with our services, including event concepts, marketing materials, vendor relationships, and proprietary methodologies, remain the exclusive property of Zentriqa Ltd. Clients receive a limited license to use deliverables specifically created for their events. Any reproduction or distribution of our proprietary materials without written consent is strictly prohibited.

Third-Party Vendors and Services

Zentriqa works with various third-party vendors, suppliers, and service providers to deliver comprehensive event services. Whilst we carefully select and coordinate these partners, we are not responsible for their individual performance, quality of goods or services, or any disputes that may arise directly between clients and third-party providers. Clients acknowledge that separate terms and conditions may apply to services provided by third parties.

Force Majeure

Zentriqa shall not be liable for any failure or delay in performance of our obligations due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, government actions, pandemic restrictions, labour disputes, or other force majeure events. In such cases, we will work with clients to reschedule or modify events as circumstances permit.

Limitation of Liability

To the maximum extent permitted by law, Zentriqa's total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific event in question. We shall not be liable for any indirect, consequential, special, or punitive damages, including but not limited to loss of profits, business interruption, or reputational damage. This limitation applies regardless of the legal theory upon which the claim is based.

Insurance and Indemnification

Clients are responsible for obtaining appropriate insurance coverage for their events, including public liability insurance. Clients agree to indemnify and hold harmless Zentriqa from any claims, damages, or expenses arising from their event, except where such claims result directly from our gross negligence or wilful misconduct. We maintain professional indemnity insurance appropriate to our business operations.

Privacy and Data Protection

Our collection, use, and protection of personal data is governed by our Privacy Policy, which forms an integral part of these terms. By using our services, you consent to our data processing practices as described in our Privacy Policy. We are committed to protecting your privacy and complying with applicable data protection regulations, including the General Data Protection Regulation (GDPR).

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Cyprus. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Cyprus. If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Termination

Either party may terminate the service agreement in accordance with the termination clauses specified in the individual service contract. Zentriqa reserves the right to terminate services immediately if the client breaches these terms or engages in conduct that we deem inappropriate or harmful to our business reputation. Upon termination, all outstanding payments become immediately due and payable.

Modifications to Terms

Zentriqa reserves the right to modify these Terms of Service at any time. Updated terms will be posted on our website with a revised effective date. Continued use of our services after such modifications constitutes acceptance of the updated terms. For ongoing service agreements, significant changes will be communicated directly to affected clients.
